1. Agreement
These Terms of Service govern your use of Alignex, operated by Hayley Charlton Ltd (“we”, “us”, “our”). By creating an account or using the service, you agree to these terms. If you are using Alignex on behalf of an organisation, you confirm you have authority to bind that organisation to these terms.
2. The service
Alignex provides organisational alignment diagnostic software as a subscription service (SaaS). The service includes diagnostic surveys, results analysis, AI-generated narrative reports, and associated tooling. We reserve the right to modify, update, or discontinue features with reasonable notice.
3. Accounts and access
You are responsible for maintaining the security of your account credentials. You must enable two-factor authentication as required by the platform. You must not share login credentials or allow unauthorised access to your account. We may suspend or terminate accounts that breach these terms.
4. Subscription and payment
Subscriptions are billed annually in advance. Prices are quoted exclusive of VAT. Payment is processed by Stripe. Subscriptions renew automatically unless cancelled before the renewal date. Refunds are not provided for partial subscription periods unless required by law.
5. Data ownership
You retain ownership of all data you input into Alignex, including diagnostic responses, organisational structure, and business unit data. We process this data on your behalf as a data processor. You grant us a limited licence to process your data solely for the purpose of providing the service.
6. Acceptable use
You must not use Alignex to: collect data without informed consent from respondents; attempt to identify individual respondents from aggregated data; reverse engineer or copy the platform; use the service for unlawful purposes; or attempt to circumvent security controls.
7. AI-generated content
Alignex uses AI to generate narrative analysis from diagnostic data. AI-generated content is provided for informational purposes only and does not constitute professional advice. You should exercise your own judgement when acting on AI-generated recommendations.
8. Limitation of liability
To the maximum extent permitted by law, our total liability to you for any claim arising from use of the service is limited to the subscription fees paid by you in the 12 months preceding the claim. We are not liable for indirect, consequential, or special damages. Nothing in these terms limits liability for death, personal injury, or fraud.
9. Confidentiality
We treat all organisational diagnostic data as confidential. We do not sell, share, or disclose your data to third parties except as required to provide the service or as required by law. Our staff are bound by confidentiality obligations.
10. Termination
Either party may terminate the subscription at the end of a billing period. We may terminate immediately for material breach of these terms. Upon termination, you may request an export of your data. We will delete your data within 90 days of termination unless legally required to retain it.
11. Governing law
These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
